Good news for consumers: T-Mobile (aka “We ain’t AT&T yet”) is offering a $30 “unlimited” text and data (their words, not mine, since data is not truly unlimited) prepaid plan through Walmart stores and online. The plan includes 100 voice minutes, above which will be $.10 /min, which is fairly high. Definitely targeted towards the heavy texters who don’t talk much. ;-) The plan will be available beginning Oct. 16th, and six prepaid phone models will be offered through T-mobile.

The U.S. market sorely needs more prepaid SIM options on the GSM networks, and this is a good addition. On the downside, as you’ll see from T-mobile’s press release (after the break), only the first 5GB will be available at 4G speeds, but it does not specify the speed after you’ve used up the 5GB. Will it be 3G, or Edge? Definitely a question you should ask your T-mobile rep in the store.

T-Mobile’s Press Release:

Walmart and T-Mobile Introduce Exclusive No-Annual Contract 4G Offering

BELLEVUE, Wash., and BENTONVILLE, Ark. — October 3, 2011 — With increased consumer demand for both no-annual contract wireless plans and faster data speeds, Walmart and T-Mobile USA, Inc. announced today that T-Mobile will launch a $30 unlimited web and text monthly 4G prepaid service plan — providing customers great value on a no-annual contract 4G data offering. The plan will be sold exclusively in-store at more than 2,200 Walmart stores and online at www.walmart.com and www.T-Mobile.com and is expected to launch Oct. 16.

The new flexible and affordable plan will provide Walmart customers with access to America’s Largest 4G Network™. In a survey of Walmart customers, approximately 60 percent cited that having a high-speed data network was a key factor in the purchase of a wireless service plan. With this new offering, available for $30 per month and no annual contract, customers can enjoy unlimited Web, with the first 5 GB at up to 4G speeds; unlimited text; and 100 minutes of talk, with 10 cents per minute after the first 100 minutes.

In further expansion of this offer, Walmart is increasing its line-up of affordable T-Mobile phones to six, including the addition of Walmart’s first 4G prepaid handset.

“Walmart is proud to offer our customers fast and affordable mobile options, especially as texting and social networking become a regular form of communication,” said Seong Ohm, senior vice president of entertainment, Walmart U.S. “Together with our suppliers we continue to ensure the products our customers want and need — from the latest smartphone and TV to groceries and toys — are available at every day low prices.”

“T-Mobile is thrilled to offer this exclusive, affordable service plan, designed specifically with heavy text and data users in mind, to meet the demand for prepaid, which is expected to double by 2015,” said Amy McCune, vice president of national retail, T-Mobile USA. “Walmart is known for providing consumers incredible value, making T-Mobile an ideal partner, and T-Mobile is delivering great prices, convenient options and a reliable nationwide 4G network, which we know Walmart customers appreciate.”

T-Mobile USA is on track to join forces with telecom giant AT&T in a $39 billion cash and stock purchase deal from Deutsche Telekom to make AT&T the largest telecommunications provider in the US. What does this mean?

Upon purchase, within the next 12 months, AT&T will, basically, monopolize the GSM market in the US and according to AT&T will invest heavily in infrastructure including 4G LTE technology along with infiltrating deeper into rural markets. As a result AT&T’s coverage area should increase significantly. Only time will tell if service improves.

How this may negatively affect consumers? T-mobile customers may well see the largest negative impact as pricing for their plans will likely increase, however, with such a large presents in the CDMA arena by the likes of Verizon and Sprint overall pricing will have to stay competitive.

Read on into the press release below for more on the acquisition.

Press Release

AT&T to Acquire T-Mobile USA from Deutsche Telekom

Provides Fast, Efficient and Certain Solution to Impending Spectrum Exhaust Challenges Facing AT&T and T-Mobile USA in Key Markets Due to Explosive Demand for Mobile Broadband

Enhances Network Capacity, Output and Quality in Near Term for Both Companies’ Customers

AT&T Commits to Expand 4G LTE Deployment to an Additional 46.5 Million Americans, Including in Rural, Smaller Communities, for a Total of 294 Million or 95% of the U.S. Population

Provides 4G LTE Service for T-Mobile USA’s 34 Million Subscribers

More Than $8 Billion in Incremental Infrastructure Spend by a U.S. Company over Seven Years, Enabling Nation’s High-Tech Industry, Innovation and Economic Growth

Creates Substantial Value for AT&T Shareholders Through Large, Straightforward Synergies

DALLAS & BONN, Germany–(BUSINESS WIRE)–AT&T Inc. (NYSE: T) and Deutsche Telekom AG (FWB: DTE) today announced that they have entered into a definitive agreement under which AT&T will acquire T-Mobile USA from Deutsche Telekom in a cash-and-stock transaction currently valued at approximately $39 billion. The agreement has been approved by the Boards of Directors of both companies.

“This transaction represents a major commitment to strengthen and expand critical infrastructure for our nation’s future”

AT&T’s acquisition of T-Mobile USA provides an optimal combination of network assets to add capacity sooner than any alternative, and it provides an opportunity to improve network quality in the near term for both companies’ customers. In addition, it provides a fast, efficient and certain solution to the impending exhaustion of wireless spectrum in some markets, which limits both companies’ ability to meet the ongoing explosive demand for mobile broadband.

With this transaction, AT&T commits to a significant expansion of robust 4G LTE (Long Term Evolution) deployment to 95 percent of the U.S. population to reach an additional 46.5 million Americans beyond current plans – including rural communities and small towns. This helps achieve the Federal Communications Commission (FCC) and President Obama’s goals to connect “every part of America to the digital age.” T-Mobile USA does not have a clear path to delivering LTE.

“This transaction represents a major commitment to strengthen and expand critical infrastructure for our nation’s future,” said Randall Stephenson, AT&T Chairman and CEO. “It will improve network quality, and it will bring advanced LTE capabilities to more than 294 million people. Mobile broadband networks drive economic opportunity everywhere, and they enable the expanding high-tech ecosystem that includes device makers, cloud and content providers, app developers, customers, and more. During the past few years, America’s high-tech industry has delivered innovation at unprecedented speed, and this combination will accelerate its continued growth.”

Stephenson continued, “This transaction delivers significant customer, shareowner and public benefits that are available at this level only from the combination of these two companies with complementary network technologies, spectrum positions and operations. We are confident in our ability to execute a seamless integration, and with additional spectrum and network capabilities, we can better meet our customers’ current demands, build for the future and help achieve the President’s goals for a high-speed, wirelessly connected America.”

Deutsche Telekom Chairman and CEO René Obermann said, “After evaluating strategic options for T-Mobile USA, I am confident that AT&T is the best partner for our customers, shareholders and the mobile broadband ecosystem. Our common network technology makes this a logical combination and provides an efficient path to gaining the spectrum and network assets needed to provide T-Mobile customers with 4G LTE and the best devices. Also, the transaction returns significant value to Deutsche Telekom shareholders and allows us to retain exposure to the U.S. market.”

As part of the transaction, Deutsche Telekom will receive an equity stake in AT&T that, based on the terms of the agreement, would give Deutsche Telekom an ownership interest in AT&T of approximately 8 percent. A Deutsche Telekom representative will join the AT&T Board of Directors.

Competition and Pricing

The U.S. wireless industry is one of the most fiercely competitive markets in the world and will remain so after this deal. The U.S. is one of the few countries in the world where a large majority of consumers can choose from five or more wireless providers in their local market. For example, in 18 of the top 20 U.S. local markets, there are five or more providers. Local market competition is escalating among larger carriers, low-cost carriers and several regional wireless players with nationwide service plans. This intense competition is only increasing with the build-out of new 4G networks and the emergence of new market entrants.

The competitiveness of the market has directly benefited consumers. A 2010 report from the U.S. General Accounting Office (GAO) states the overall average price (adjusted for inflation) for wireless services declined 50 percent from 1999 to 2009, during a period which saw five major wireless mergers.

Addresses wireless spectrum challenges facing AT&T, T-Mobile USA, their customers, and U.S. policymakers

This transaction quickly provides the spectrum and network efficiencies necessary for AT&T to address impending spectrum exhaust in key markets driven by the exponential growth in mobile broadband traffic on its network. AT&T’s mobile data traffic grew 8,000 percent over the past four years and by 2015 it is expected to be eight to 10 times what it was in 2010. Put another way, all of the mobile traffic volume AT&T carried during 2010 is estimated to be carried in just the first six to seven weeks of 2015. Because AT&T has led the U.S. in smartphones, tablets and e-readers – and as a result, mobile broadband – it requires additional spectrum before new spectrum will become available. In the long term, the entire industry will need additional spectrum to address the explosive growth in demand for mobile broadband.

Improves service quality for U.S. wireless customers

AT&T and T-Mobile USA customers will see service improvements – including improved voice quality – as a result of additional spectrum, increased cell tower density and broader network infrastructure. At closing, AT&T will immediately gain cell sites equivalent to what would have taken on average five years to build without the transaction, and double that in some markets. The combination will increase AT&T’s network density by approximately 30 percent in some of its most populated areas, while avoiding the need to construct additional cell towers. This transaction will increase spectrum efficiency to increase capacity and output, which not only improves service, but is also the best way to ensure competitive prices and services in a market where demand is extremely high and spectrum is in short supply.

Expands 4G LTE deployment to 95 percent of U.S. population – urban and rural areas

This transaction will directly benefit an additional 46.5 million Americans – equivalent to the combined populations of the states of New York and Texas – who will, as a result of this combination, have access to AT&T’s latest 4G LTE technology. In terms of area covered, the transaction enables 4G LTE deployment to an additional 1.2 million square miles, equivalent to 4.5 times the size of the state of Texas. Rural and smaller communities will substantially benefit from the expansion of 4G LTE deployment, increasing the competitiveness of the businesses and entrepreneurs in these areas.

Increases AT&T’s investment in the U.S.

The acquisition will increase AT&T’s infrastructure investment in the U.S. by more than $8 billion over seven years. Expansion of AT&T’s 4G LTE network is an important foundation for the next wave of innovation and growth in mobile broadband, ensuring the U.S. continues to lead the world in wireless technology and availability. It makes T-Mobile USA, currently a German-owned U.S. telecom network, part of a U.S.-based company.

An impressive, combined workforce

Bringing AT&T and T-Mobile USA together will create an impressive workforce that is best positioned to compete in today’s global economy. Post-closing, AT&T intends to tap into the significant knowledge and expertise held by employees of both AT&T and T-Mobile USA to succeed. AT&T is the only major U.S. wireless company with a union workforce, offering leading wages, benefits, training and development for employees. The combined company will continue to have a strong employee and operations base in the Seattle area.

Consistent with AT&T’s track record of value-enhancing acquisitions

AT&T has a strong track record of executing value-enhancing acquisitions and expects to create substantial value for shareholders through large, straightforward synergies with a run rate of more than $3 billion, three years after closing onward (excluding integration costs). The value of the synergies is expected to exceed the purchase price of $39 billion. Revenue synergies come from opportunities to increase smartphone penetration and data average revenue per user, with cost savings coming from network efficiencies, subscriber and support savings, reduced churn and avoided capital and spectrum expenditures.

The transaction will enhance margin potential and improve the company’s long-term revenue growth potential as it benefits from a more robust mobile broadband platform for new services.

Additional financial information

The $39 billion purchase price will include a cash payment of $25 billion with the balance to be paid using AT&T common stock, subject to adjustment. AT&T has the right to increase the cash portion of the purchase price by up to $4.2 billion with a corresponding reduction in the stock component, so long as Deutsche Telekom receives at least a 5 percent equity ownership interest in AT&T.

The number of AT&T shares issued will be based on the AT&T share price during the 30-day period prior to closing, subject to a 7.5 percent collar; there is a one-year lock-up period during which Deutsche Telekom cannot sell shares.

The cash portion of the purchase price will be financed with new debt and cash on AT&T’s balance sheet. AT&T has an 18-month commitment for a one-year unsecured bridge term facility underwritten by J.P. Morgan for $20 billion. AT&T assumes no debt from T-Mobile USA or Deutsche Telekom and continues to have a strong balance sheet.

The transaction is expected to be earnings (excluding non-cash amortization and integration costs) accretive in the third year after closing. Pro-forma for 2010, this transaction increases AT&T’s total wireless revenues from $58.5 billion to nearly $80 billion, and increases the percentage of AT&T’s total revenues from wireless, wireline data and managed services to approximately 80 percent.

This transaction will allow for sufficient cash flow to support AT&T’s dividend. AT&T has increased its dividend for 27 consecutive years, a matter decided by AT&T’s Board of Directors.

Conditions

The acquisition is subject to regulatory approvals, a reverse breakup fee in certain circumstances, and other customary regulatory and other closing conditions. The transaction is expected to close in approximately 12 months.

Advisors

Greenhill & Co., J.P. Morgan and Evercore Partners acted as financial advisors and Sullivan & Cromwell LLP, Arnold & Porter, and Crowell & Moring provided legal advice to AT&T.

The overall build of the device is top-notch, and though it may appear to some like an enlarged Captivate or Fascinate, it feels more solid than those plasticy phones.

If the iPad is a digital clipboard, then the Galaxy Tab is a digital paperback.

The Tab was also a bit hit and miss when it comes to responsiveness. At some points the screen responded to touch almost immediately. At other times there were uncomfortable delays.

The display’s touch sensitivity is fantastic. The Galaxy Tab precisely registers everything you want to do, and the display keyboard is especially well realized.

With solid, well-designed hardware, the Samsung Galaxy Tab for Sprint is the first viable Android-based competitor to the Apple iPad. But so far, it doesn’t have apps that will compel you to buy one.

Next month T-Mobile will be shipping the new HTC HD7. The HD7 has a 4.3 inch touch screen, which is the largest touch screen phone running Windows Phone 7. The HD7 comes with the fast and reliable Qualcomm 1 GHz Snapdragon processor running the show with some great integrated apps standard, like Netflix, XBox Live, Zune, Slacker Radio, T-Mobile TV, IE 8, GPS functionality and a new T-Mobile app called Family Room, which lets families share an events calendar and has real time alerts.

16GB of internal memory should allow ample room to store pictures from the 5MP camera and HD video the HD7 will produce. The optics will auto focus and there is a dual LED flash on board. There is also a built-in kickstand for tabletop, hands free viewing.

Also coming down the pike is the Dell Venue Pro, which is a slider with a full QWERTY keyboard featuring a 4.1-inch screen, 5 megapixel camera and a Qualcomm 1 GHz Snapdragon processor. T-Mobile says to expect to see the Dell Venue Pro in stores before the Holidays.

Press Release

BELLEVUE, Wash.–(BUSINESS WIRE)–T-Mobile USA, Inc. today announced the upcoming launch of the HTC HD7, one of the world’s first smartphones using the Windows Phone 7 operating system. Pairing rich mobile multimedia features with a 4.3-inch touch display — the largest screen available on a Windows Phone in the U.S. — the HTC HD7 promises to keep customers entertained and connected on the go.

“T-Mobile has been a strong supporter of Windows Phones and we are pleased to continue our partnership with Windows Phone 7”

“By delivering the largest screen available on a Windows Phone, T-Mobile is offering a top-notch smartphone entertainment experience,” said Paul Cole, vice president, product management, T-Mobile USA. “With deep integration of entertainment brands, social networking capabilities and rich Microsoft services, the HTC HD7 intelligently brings together information and experiences that matter to customers all in a bold, sophisticated design.”

Jason Mackenzie, president, HTC Americas said, “With its huge, vibrant display, high quality sound and built-in kickstand, the HTC HD7 smartphone is the ultimate device to enjoy the outstanding entertainment services made possible by Windows Phone 7. With the HTC HD7 smartphone, HTC and T-Mobile are once again coming together to deliver an outstanding smartphone experience to wireless consumers looking for both entertainment and productivity.”

The HTC HD7 is the first phone from T-Mobile built on Windows Phone 7, Microsoft’s new mobile platform designed to bring together what customers care about most. Instead of the common icon displays on the screen, Windows Phone 7 uses Live Tiles, which allow customers to find out what’s going on, what’s happening next, and what they’ve missed without having to open an application.

Windows Phone 7 also delivers an integrated experience on the HTC HD7 through Windows Phone Hubs. Hubs bring together a related set of applications, services and content into a single view to simplify common tasks. Your contacts, music, games and work can be shared, synced and accessed virtually wherever you happen to be.

“T-Mobile has been a strong supporter of Windows Phones and we are pleased to continue our partnership with Windows Phone 7,” said Andy Lees, president of the Mobile Communications Business at Microsoft Corp. “T-Mobile has a deep understanding of its customers, and we’re thrilled to bring Windows Phone 7 to market on its network.”

With the new HTC HD7, customers can access their favorite movies, TV shows, games, music and more on a large 4.3-inch screen. The HTC HD7’s top pre-installed entertainment applications include the following:

Netflix for streaming thousands of movies and TV shows for Netflix members to watch instantly on the HTC HD7’s large, crisp screen.

T-Mobile TV, offering consumers access to live and on-demand TV, including free programming from ABC News NOW, FOX Sports, PBS Kids, Azteca America, family holiday movie favorites and more.

Slacker Radio for listening to free, personalized radio with over 130 genre stations and the ability for customers to create stations of their own.

Xbox LIVE unlocks a world of games and fun, connecting customers to a global community of more than 25 million active Xbox LIVE members and offering easy access to Xbox LIVE features such as Friends, Avatars, Achievements, Messaging and more.

Zune for loading people’s favorite media — music, movies, TV shows and podcasts — and taking it wherever.

In addition to rich entertainment, the HTC HD7 also keeps customers connected throughout the day with a best-in-class productivity experience featuring the largest virtual keyboard available on a Windows Phone in the U.S. The HTC HD7 includes fully integrated Microsoft Exchange e-mail and calendar as well as Office Hub, which offers customers mobile versions of popular productivity programs, including Microsoft Word, Microsoft Excel, Microsoft PowerPoint, OneNote and SharePoint Workspace.

Running on T-Mobile’s super-fast mobile broadband network, the HTC HD7’s 4.3 inch capacitive screen with built-in kickstand is ideal for watching the latest movies and other video entertainment or experiencing a large selection of games and applications. The device also comes equipped with a blazing-fast Qualcomm® 1 GHz Snapdragon™ processor for a fast mobile data experience.

In addition to the comprehensive entertainment features of the device, the HTC HD7 delivers advanced phone features including GPS functionality with access to turn-by-turn navigation from TeleNav GPS Navigator™, Internet Explorer 8, 16 GB of internal memory, HD video recording, and an advanced 5 megapixel autofocus camera with dual LED flash.

The HTC HD7 is also the first device to offer T-Mobile® Family Room™, a new application exclusively from T-Mobile that helps families keep in touch and manage their busy lives. Customers can write a note on a virtual chalkboard and add shared calendar events for their Family Room group to coordinate get-togethers. Sharing pictures and interacting is easy, with real-time notifications alerting users when any family member posts something for everyone to see.

Availability

The HTC HD7 is expected to be available in the U.S. exclusively to T-Mobile customers in mid-November. More details will be available at http://htc.t-mobile.com/hd7.

In addition to the HTC HD7, T-Mobile plans to offer an additional Windows Phone 7 smartphone option in the Dell Venue Pro, a stylish full-QWERTY slider featuring a 4.1-inch screen, 5 megapixel camera and a Qualcomm 1 GHz Snapdragon processor. The Dell Venue Pro is expected to be available in the U.S. in time for the holidays directly from Dell and select retailers with service from T-Mobile. More details will be available at http://www.dell.com.

Use of some features or services may incur separate, additional charges and/or require a qualifying data plan or access to a Wi-Fi connection. Coverage is available in locations nationwide but may not be available everywhere. For more details on where T-Mobile network coverage is available, please visit http://www.t-mobile.com/coverage.

myTouch Press Release

BELLEVUE, Wash. – October 4, 2010 – T-Mobile USA, Inc. today announced a new addition to its exclusive line of Android™-powered T-Mobile® myTouch® smartphones and the continued expansion of its new super-fast HSPA+ mobile broadband network. Built with families in mind, the newest T-Mobile myTouch helps solve the challenges of staying physically and emotionally connected by sharing photos and video with the HD Camcorder, spontaneous face-to-face conversations through Video Chat and the ability to reach 4G speeds on T-Mobile’s new network, which is now available in more cities across the country.1

Unlike other video-calling solutions on the market that only work through Wi-Fi, Video Chat on the new myTouch enables customers to connect with loved ones spontaneously from practically anywhere through T-Mobile’s network or Wi-Fi. With the myTouch’s front-facing camera paired with Video Chat, customers can hold video conversations with friends and family who have a new T-Mobile myTouch, other compatible mobile device or capable PC. Customers can even see who is available to chat through presence information integrated into the myTouch’s address book.

“Taking advantage of the 4G speeds on T-Mobile’s HSPA+ network, the new myTouch delivers a faster and more compelling experience than most competing smartphones on the market,” said Andrew Sherrard, vice president, product development, T-Mobile USA. “Our continued focus to build innovative new features and personalized services truly makes myTouch unique.”

Designed specifically to deliver 4G speeds on T-Mobile’s rapidly expanding HSPA+ network, the new myTouch will offer customers blazing fast access to websites, applications, videos, downloads and more. T-Mobile’s HSPA+ network is the most pervasive mobile broadband network in the country, offering 4G speeds in more than 65 major metropolitan areas.

With its latest expansion, T-Mobile’s HSPA+ footprint now includes Biloxi and Gulfport, Miss.; Denver, Colo.; Huntsville, Ala.; Knoxville, Tenn.; Myrtle Beach, S.C.; Norfolk, Va.; Omaha, Neb.; Phoenix and Tucson, Ariz.; Salt Lake City, Utah; San Francisco, San Jose, Oakland and Sacramento, Calif.; and West Palm Beach, Fla. T-Mobile expects to reach 100 major metropolitan areas and 200 million people in 2010.

Families also can share moments in high-definition (HD) with the myTouch’s high-quality HD Camcorder with Screen Share, which allows customers to share or broadcast HD video and pictures they’ve captured. With a few touches of the screen, customers can share their photo albums, videos and movies wirelessly with a compatible HDTV or other DLNA device. The new phone also includes three exclusive myTouch features: Genius Button™, powered by Dragon Dictation from Nuance, which lets customers call, text, e-mail or access the internet with a simple voice command; Faves Gallery™ , which offers shortcuts to one’s most-contacted family and friends; and myModes, which creates customized home screens for work and home.

Designed by HTC exclusively for T-Mobile, the new myTouch features a brilliant 3.8-inch WVGA touch-screen display with virtual keyboard and Swype® for easy text input. The thin and sleek device also comes with a blazing fast second-generation Qualcomm® Snapdragon™ 1GHz MSM8255 processor optimized for speed and graphic performance, a 5-megapixel camera, a preinstalled 8 GB microSD memory card, and an integrated media player that brings together favorite music, video and internet radio under one set of controls.

The new device also features preloaded HD games, including “Rock Band,” “Asphalt 5″ and “Monopoly.”

The new T-Mobile myTouch is expected to be available in time for the holidays, exclusively from

T-Mobile USA in four colors – white, black, plum or red. Customers can visit http://mytouch.t-mobile.com for more information.

T-Mobile now offers 4G speeds on the new myTouch and the T-Mobile G2™, as well as the webConnect Rocket™ 2.0 and Rocket laptop sticks. In addition, customers located in new HSPA+ locations can benefit from faster speeds on their existing 3G smartphones – including popular devices, such as the myTouch 3G Slide.2

# # #
